Randi L. Osberg

Professional Experience

Until he chaired a county’s political party, Randi thought for sure he would be a career politician.  Instead, he found he could make a difference in his hometown by providing sophisticated tax advice to residents of rural communities.  As a lawyer, certified public accountant, and licensed real estate broker, Randi uses his background and expertise to assist individuals, businesses, and non-profit organizations with transactional and financing issues.

Having served as a Chapter 7 bankruptcy panel trustee for over 20 years, Randi has represented both lenders and borrowers in substantial credit agreements, work-outs, and restructuring matters. He has also used his experience and skills to assist non-profit entities organize, obtain their tax-exempt status, and assist them with tax reporting and reorganizational matters. These include both public and private charitable entities.

His experience includes:

  • Representing a developer in a significant public-private partnership development project, including negotiation of development agreements with state and local governmental entities
  • Forming an operating foundation and assisting with the development of a public-private partnership with a school district and local nonprofit organization to build a multi-use athletic facility
  • Representing municipal entities, financial institutions, and private developers with analysis and  innovative use of tax incremental financing, development agreements, community development block grants, USDA programs, and other financing alternatives
  • Providing advice regarding the formation of new businesses and the reorganization of existing businesses to maximize capital and debt structure efficiencies
  • Counseling both buyers and sellers of whole companies or divisions in merger or asset based transactions
  • Assisting clients with a broad range of tax controversies including expense reclassification, compensation reclassification, unrelated business income tax, and tax exemption controversies.

Randi unwinds reading spy novels; he has a particular affinity to the detectives (it reminds him of the sleuthing during his bankruptcy trustee days). He and his wife, Laurie, are the proud parents of three children.
