Professional Experience:
Joe Mirr concentrates his practice in business and commercial law, primarily in the areas of business counseling, real estate, business transactions, and business litigation. He represents numerous individuals and business entities. His clients include closely held businesses, privately and publicly held entities, and financial institutions. Recent experience includes:
- Represented three related corporations that operate numerous franchised fast-food restaurants in western Wisconsin in individual shareholders' sales and purchases of controlling interests in the corporations, including negotiating and drafting of non-competition agreements, promissory notes and guarantees, financing agreements, and related agreements, and revisions of equipment and real estate leases.
- Represented an individual in a complex transaction regarding the purchase of stock in a transportation business operated by a competitor, which included a stock purchase agreement and sale agreements, a real estate purchase agreement, an equipment lease, a real estate lease, a joint-venture agreement by which the buyer and seller entities combined their businesses into one operation, several employment agreements and non-competition agreements, a buy-sell agreement, and an option agreement.
- Represented several investor groups regarding the purchase of a hotel in Wisconsin, the sale of a hotel in Minnesota, and the purchase of real estate in Minnesota and construction of a hotel on that real estate, which included negotiation and drafting of purchase and sale agreements, operating agreements, development agreements, real estate purchase agreements, construction contracts, and related documents, the review and drafting of loan agreement and related financing documents, and the review of franchise agreements for the hotel operations.
